Acquisitions
Our law firm also provides legal services related to the purchase and sale of companies in Slovakia (acquisitions):
- identifying and assessing legal risks associated with the acquisition and proposing solutions to eliminate or mitigate them;
- conducting legal due diligence of the target company, and if necessary, in cooperation with partner auditing firms, we can also arrange for the required tax and financial audit of the target company to provide comprehensive support to clients;
- advising on structuring the planned acquisition and selecting the appropriate method of execution (e.g., via a share deal, i.e., purchase of business shares or stocks, or via an asset deal, i.e., transfer of assets, or through other forms such as company sale or transformations);
- legal assistance in preparing and conducting negotiations regarding the terms of the acquisition;
- drafting and reviewing all related documentation (such as share transfer agreements, stock sale agreements, escrow agreements—whether notary deposits or bank letters of credit, etc.);
- providing assistance during the signing of acquisition documentation and closing of the acquisition, and monitoring compliance with closing and other conditions of the acquisition;
- legal assistance necessary for registering the acquisition in the Commercial Register or at the Central Securities Depository (CDCP).
Corporate Transformations (Mergers and divisions of companies, including cross-border transformations)
- drafting all documentation necessary for mergers in the form of amalgamation or consolidation of companies;
- drafting all documentation for divisions in the form of demerger or spinoff of companies;
- assistance in signing the documentation related to corporate transformations;
- legal assistance necessary for registering the corporate transformations in the relevant Commercial Register.
